Welcome to Signvita Inc. ("Signvita," "we," "our," or "us"). Signvita is a platform that connects nature-based and environmental projects to the global economy, enabling the seamless flow of value and information across environmental markets to benefit people, the planet, and local economies. Our integrated platform also promotes the growth of the cottage industry by closing the gaps in the values chains from the value derived from the carbon market.
These Terms of Use ("Terms") govern your access to and use of our website, platform, applications, tools, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms, as well as our Privacy Policy and any supplemental terms that may apply to specific features or services. If you do not agree to these Terms, you may not use the Platform.
1. Eligibility
To use the Platform, you must:
• Be at least 18 years old,
• Have the legal capacity to enter into binding contracts, and
• Not be barred from using the Platform under any applicable law.
By using the Platform, you represent and warrant that you meet all of the above requirements.
2. Account Registration and Security
Some features of the Platform require the creation of an account. You agree to:
• Provide accurate and current information during registration,
• Update your information to remain accurate and complete,
• Maintain the confidentiality of your account credentials, and
• Accept responsibility for all activities that occur under your account.
You must notify us immediately of any unauthorized use or suspected breach of account security.
3. Digital Carbon Credit Monitoring and Environmental Services
Signvita provides environmental asset enablement services, including tools to help users quantify, monitor, and generate value from conservation activities and environmental assets. Where applicable, credits represent verified reductions or removals of greenhouse gas emissions, subject to independent verification standards and regulatory frameworks.
Signvita does not guarantee credit issuance, pricing, or market demand. Users are responsible for understanding applicable project, regulatory, and verification requirements.
4. Compliance with Laws
You agree to comply with all applicable laws, regulations, and standards when using the Platform, including environmental reporting requirements, tax obligations, market regulations, and securities laws.
5. Prohibited Activities
You agree not to engage in activities that:
• Are illegal, fraudulent, or deceptive,
• Disrupt, damage, or interfere with the Platform or its infrastructure,
• Violate the intellectual property rights of Signvita or third parties,
• Involve impersonation or misrepresentation of identity, or
• Spread malicious code, including viruses or malware.
6. Intellectual Property
All trademarks, software, data, text, graphics, logos, and other content on the Platform are owned by Signvita or licensed to us. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your personal and lawful use. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without prior written permission.
7. Third-Party Links and Services
The Platform may contain links to third-party websites or services. These are provided for convenience only. Signvita does not control or endorse these third parties and is not responsible for their content, policies, or actions. Your use of third-party services is at your own risk.
8. Termination
We may suspend or terminate your access to the Platform at any time and for any reason, including violation of these Terms. Upon termination, your right to use the Platform will end immediately.
9. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee the accuracy, reliability, or completeness of Platform content, nor that the Platform will always be secure or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Signvita and its affiliates, directors, employees, and agents shall not be liable for:
• Any indirect, incidental, special, consequential, or punitive damages,
• Loss of profits, data, goodwill, or business interruption,
• Damages arising from your access to or use of the Platform.
11. Indemnification
You agree to indemnify and hold harmless Signvita and its affiliates, directors, officers, employees, and agents from any claims, losses, damages, liabilities, including legal fees, arising from:
• Your use of the Platform,
• Your violation of these Terms,
• Your violation of any applicable laws or third-party rights.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Kenya, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Kenya.
13. Changes to These Terms
We may update or modify these Terms at any time. Changes take effect upon posting on the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.
14. Privacy

15. Entire Agreement
These Terms, together with our Privacy Policy and any supplemental terms, constitute the entire agreement between you and Signvita regarding use of the Platform.
